Legal Agreement

IMPORTANT — PLEASE READ CAREFULLY BEFORE USING THIS PLATFORM
This Terms of Service Agreement is a legally binding contract between you and NorthAnchor LLC, a Kentucky limited liability company, governing your access to and use of the BLACKBOOK platform. By clicking "I Agree," creating an account, or accessing any portion of the Platform, you acknowledge that you have read, understood, and agree to be bound by this Agreement in its entirety.
1.1 This Agreement is entered into between NorthAnchor LLC ("NorthAnchor"), a limited liability company organized under the laws of the Commonwealth of Kentucky, with its principal place of business in London, Kentucky, and the individual accessing the BLACKBOOK platform ("User"). 1.2 By accessing the Platform, registering an account, or clicking any "I Agree," "Sign Up," or "Register" button, User expressly acknowledges having read, understood, and agreed to all terms and conditions of this Agreement. 1.3 NorthAnchor reserves the right to refuse access to the Platform to any person or entity for any reason at its sole discretion.
2.1 BLACKBOOK is an information aggregation and entertainment platform only. Nothing on the Platform constitutes investment advice, financial advice, trading advice, legal advice, tax advice, or any other form of professional advice. 2.2 NorthAnchor is not a registered investment adviser, broker-dealer, or financial planner. No fiduciary relationship exists between NorthAnchor and any User. 2.3 All investment and financial decisions made by User are made solely at User's own risk. NorthAnchor expressly disclaims all liability for investment losses or financial damages of any kind arising from User's use of or reliance on the Platform. 2.4 User should consult a licensed financial advisor before making any investment decision.
3.1 Congressional trade data is sourced from public STOCK Act disclosures. NorthAnchor does not independently generate or verify this data. 3.2 Under the STOCK Act, members of Congress have up to forty-five (45) calendar days to file trade disclosures. Data may be delayed by up to 45 days or more from the actual transaction date. 3.3 Many members file disclosures late. The maximum civil fine for a late disclosure is $200, making late filings common. NorthAnchor has no control over government filing accuracy or timeliness. 3.4 NorthAnchor makes no warranty that data is accurate, complete, current, or fit for any purpose. User expressly waives any claim against NorthAnchor arising from data inaccuracies or delays.
4.1 The BLACKBOOK Simulation Engine allows Users to create hypothetical virtual portfolios for educational and entertainment purposes only. 4.2 All simulation results are purely hypothetical and do not represent actual financial transactions or guarantees of future performance. 4.3 Simulations use approximate prices and do not account for bid-ask spreads, commissions, slippage, taxes, or real-world trading friction. 4.4 NorthAnchor is not liable for any decision made based on simulation data or results.
5.1 The Platform is provided on an "as is" and "as available" basis with no guarantee of uninterrupted access. 5.2 NorthAnchor shall not be liable for any loss resulting from Platform downtime, service interruptions, or data loss. 5.3 NorthAnchor reserves the right to modify, suspend, or permanently discontinue the Platform at any time, with or without notice. No refunds are guaranteed in the event of discontinuation.
6.1 Subscriptions are billed monthly and do not automatically renew. 6.2 Upon Subscription expiration, a 14-day grace period applies during which User may renew and retain historical data and simulations. 6.3 After the grace period, historical data access and simulations may be suspended. Restoration after the grace period requires a support request and NorthAnchor approval. 6.4 All fees are generally non-refundable. Refund requests must be submitted within 7 days of charge. NorthAnchor's decision is final. 6.5 NorthAnchor reserves the right to change pricing at any time with reasonable notice.
7.1 NorthAnchor may suspend or terminate User's account at any time, with or without cause. 7.2 User may close their account at any time. Closure does not entitle User to a refund. 7.3 Upon termination, User's right to access the Platform immediately ceases.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, DATA ACCURACY, OR UNINTERRUPTED SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NORTHANCHOR LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, AND DATA PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING INVESTMENT LOSSES, TRADING LOSSES, DATA LOSS, OR DAMAGES FROM PLATFORM DOWNTIME, WHETHER BASED ON CONTRACT, TORT, OR ANY OTHER THEORY. NORTHANCHOR'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF: (a) THE TOTAL AMOUNT PAID BY USER IN THE 12 MONTHS PRECEDING THE CLAIM; OR (b) TWENTY-FIVE DOLLARS ($25.00).
User agrees to defend, indemnify, and hold harmless NorthAnchor LLC and its members, managers, officers, employees, and agents from any claims, liabilities, damages, and expenses (including attorneys' fees) arising from: (a) User's use of the Platform; (b) User's violation of this Agreement; (c) any investment decision made based on Platform data; or (d) User's violation of any applicable law.
User agrees not to: (a) use the Platform for unlawful purposes; (b) scrape or systematically extract data; (c) circumvent subscription restrictions; (d) share account credentials; (e) resell or sublicense Platform access; (f) transmit malware; or (g) engage in conduct that impairs Platform operation.
The Platform's design, code, branding, and original content are owned by NorthAnchor LLC and protected by applicable intellectual property laws. User is granted a limited, non-exclusive, non-transferable, revocable license to access the Platform for personal, non-commercial use only.
13.1 Informal Resolution. Before initiating formal proceedings, User must contact NorthAnchor in writing and allow 30 days for informal resolution. 13.2 Binding Arbitration. Unresolved disputes shall be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, conducted in London, Kentucky. 13.3 Class Action Waiver. USER AND NORTHANCHOR EACH WAIVE THE RIGHT TO PARTICIPATE IN ANY CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. ALL CLAIMS MUST BE BROUGHT INDIVIDUALLY. 13.4 Governing Law. This Agreement is governed by the laws of the Commonwealth of Kentucky. Disputes not subject to arbitration shall be resolved in the state or federal courts of Laurel County, Kentucky.
14.1 This Agreement constitutes the entire agreement between the parties regarding the Platform. 14.2 If any provision is found unenforceable, remaining provisions continue in full force. 14.3 NorthAnchor's failure to enforce any provision is not a waiver thereof. 14.4 NorthAnchor may modify this Agreement at any time. Continued use after modification constitutes acceptance. 14.5 User's electronic acceptance constitutes a legally binding signature.
